The Role:

Transfer Agent (TA) Compliance is seeking a Compliance Advisor to support Fidelity's SEC-registered transfer agents and their compliance with the federal securities laws. As a member of TA Compliance, you will provide day-to-day compliance support for the transfer agent functions dispersed throughout Fidelity's business units, including FI, FBOT, WI, and FMR India - providing, among other things, regulatory guidance on the federal securities laws that govern transfer agents and/or investment companies, clarification of applicable policies and procedures, guidance on the remediation of risk incidents, compliance issues, or audit findings; and consultation on the adoption of new systems, applications, or processes employed by Fidelity's business units to fulfill transfer agent duties.

Responsibilities:

  • Establish and maintain an effective relationship with business partners and provide advice with respect to a wide range of compliance/regulatory topics.
  • For assigned compliance/regulatory topics, support all elements of the transfer agent's 38a-1 Compliance Program, which includes compliance support for scheduled risk assessments and control testing conducted by Corporate Risk, completing comprehensive annual reviews of the transfer agent's Compliance Policies and Procedures and related underlying procedures and making required edits prior to submission to the approval workflow, monitoring Key Risk Metrics (KRMs) and investigating reported metrics that exceed established thresholds to ensure the effectiveness of the key compliance controls.
  • Provide compliance advice and problem resolution to business partners and other Legal, Risk and Compliance personnel when moderate to complex regulatory compliance issues are identified.
  • Analyze moderate to complex findings identified via risk assessments/control testing, internal audits, service recoveries/risk incidents, respond to management with a proposed course of action, and track progress of remediation efforts, escalating where appropriate.
  • Assess inherent and residual compliance risks associated with key business activities, new products or services, new or modified systems, applications or logic and assist with developing recommendations to mitigate risks, including but not limited to the implementation of process improvements and/or new control activities.
  • Analyze new regulatory rule proposals, identify those potentially impacting the transfer agent and work with business partners to implement any necessary changes.
  • Provide timely responses to compliance questions received via TA Compliance's compliance inquiry intake tool, email, or otherwise.
  • Assist in the support of regulatory examinations and/or data/information production requests received from regulators.

The Expertise and Skills You Bring:

  • Bachelor's degree (required).
  • 5+ years of relevant business operations experience, ideally with experience supporting Fidelity's mutual funds, or 2+ years of experience in a compliance, risk or audit role.
  • Proficient in Microsoft Office Word, Excel, and PowerPoint.
  • Foundational understanding of the mutual fund industry coupled with a strong understanding of Fidelity's businesses, systems, and operational procedures that support Fidelity's mutual funds.
  • Excellent verbal and written communication skills.
  • Effective relationship management skills and ability to influence decision makers.
  • Ability to apply regulatory and compliance concepts to Fidelity's business units, independently develop informed opinions concerning the application of compliance requirements to Fidelity's operational business practices, and articulate those opinions in the form of advice, training, and/or other communications with business management.
  • Proficient in managing multiple, concurrent projects and making effective judgments in prioritizing and allocating time to complete project deliverables and tasks within targeted deadlines.

The Team:

TA Compliance is a team within FI & FBOT Compliance that provides compliance support for Fidelity's SEC-registered transfer agents: Fidelity Investments Institutional Operations Company LLC (FIIOC), National Financial Services LLC (NFS), Fidelity Business Services India Private Limited (FBS India) and Fidelity Stock Transfer Solutions (FSTS). TA Compliance administers the transfer agent oversight elements of the Fidelity Funds' 38a-1 Compliance Program, a program designed to ensure that the Funds and its service providers maintain written policies and procedures and a strong system of controls to comply with the federal securities laws. On behalf of FSTS, Fidelity's equity stock transfer agent, TA Compliance administers a similar compliance program built on governance and oversight elements designed to prevent, detect, and promptly remediate violations of the federal securities laws.
